1. Acceptance of Terms

By accessing or using the ValidWave Consulting website (validwaveconsulting.com), its tools, applications, publications, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Use and ourPrivacy Policy. If you do not agree, please discontinue use of the Platform immediately.

These Terms apply to all visitors, registered users, clients, and anyone who accesses or uses the Platform in any manner.

2. Description of Services

ValidWave Consulting offers the following through its Platform:

• Financial advisory services— strategic planning, cash flow, modelling, and cost optimisation
• OHADA accounting & IFRS reporting— compliance, bookkeeping, and financial statement preparation
• Internal audit & business strategy— risk assessment, process reviews, and growth planning
• Business automation— workflow digitisation and financial process automation
• Professional training— OHADA, IFRS, and financial management programmes
• Digital tools suite— free and Pro calculators and analytical tools (IFRS 16, IAS 19, DCF, payroll, etc.)
• Financial bulletin & documentation library— articles, guides, and technical reference materials

3. Financial Tools — Important Disclaimer

Outputs from our tools:

• Are based on the inputs you provide — accuracy depends entirely on the quality of your inputs
• May not reflect the most recent changes to tax legislation, accounting standards, or regulatory requirements
• Should be reviewed and validated by a qualified professional before being used in any business decision, financial statement, or regulatory submission
• Do not create any professional relationship (advisory, fiduciary, or otherwise) between you and ValidWave Consulting

ValidWave Consulting accepts no liability for financial losses, penalties, or damages arising from reliance on tool outputs without independent professional verification.

4. Pro Tools & Subscriptions

Certain tools on the Platform require a paid subscription (“Pro Tools”). The following terms apply:

• Access:Pro Tool access is granted to the registered individual or organisation that purchased the subscription. Access credentials must not be shared.
• Billing:Subscriptions are billed as stated at the time of purchase. Prices are subject to change with reasonable notice.
• Refunds:Given the digital nature of the tools, refunds are generally not available once access has been granted, except where required by applicable consumer protection law or at our sole discretion.
• Cancellation:You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
• Suspension:We reserve the right to suspend or terminate Pro Tool access for breach of these Terms, non-payment, or fraudulent activity.

5. Acceptable Use

You agree to use the Platform only for lawful purposes. You must not:

• Reverse-engineer, decompile, or attempt to extract the source code of any tool or application
• Scrape, crawl, or systematically extract data from the Platform without express written permission
• Use automated bots or scripts to access the Platform
• Attempt to bypass authentication, subscription paywalls, or security measures
• Use the Platform to transmit spam, malware, or any harmful content
• Impersonate ValidWave Consulting, its team, or any other person or entity
• Use the Platform in any way that could damage, overburden, or impair its performance
• Reproduce, republish, or redistribute our content (articles, bulletins, tool outputs, templates) for commercial purposes without prior written consent

We reserve the right to restrict or terminate access for any user who violates these terms.

6. Intellectual Property

All content on the Platform — including text, graphics, tools, calculators, code, bulletins, documentation, the ValidWave Consulting name, logo, and brand identity — is the exclusive property of ValidWave Consulting or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your personal or internal business purposes. This licence does not include:

• The right to sublicense or commercially exploit any content
• The right to reproduce or distribute tool outputs as standalone products
• Any implied licence to our trademarks or brand assets

If you wish to republish, translate, or adapt any of our content, please contact us for prior written permission.

7. User-Submitted Content

If you submit data or content through our Platform (e.g. contact forms, tool inputs, training enrolment information), you confirm that:

• The information you provide is accurate and does not infringe any third-party rights
• You have the authority to share any data you enter (e.g. company financial data)
• You are not submitting confidential data of third parties without authorisation

We do not claim ownership of your submitted data. Tool inputs processed client-side are not stored on our servers (except where account features require it).

8. Third-Party Links & Services

The Platform may contain links to third-party websites, tools, or services (e.g. Calendly, Stripe, Google Fonts). These links are provided for convenience only. ValidWave Consulting has no control over and accepts no responsibility for the content, privacy practices, or availability of third-party sites. Use of third-party services is governed by their own terms and privacy policies.

9. Disclaimer of Warranties

The Platform and all content, tools, and services are provided on an“as is” and “as available”basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, ValidWave Consulting disclaims all warranties including, but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Platform will be uninterrupted, error-free, or free of viruses or harmful components
• Warranties as to the accuracy, completeness, or timeliness of any information or tool output

10. Limitation of Liability

To the maximum extent permitted by applicable law, ValidWave Consulting, its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to:

• Loss of revenue, profits, or business
• Financial penalties or tax assessments resulting from reliance on tool outputs
• Loss of data or system downtime
• Errors or inaccuracies in any content or tool output

Our total aggregate liability to you for any claim arising from use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim, or USD 100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless ValidWave Consulting and its affiliates from any claim, demand, loss, liability, or expense (including legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; or (c) any content or data you submit through the Platform.

12. Termination of Access

We reserve the right to suspend or terminate your access to the Platform at our discretion, with or without notice, if we reasonably believe you have violated these Terms or applicable law. Upon termination, all licences granted to you immediately cease. Sections 6, 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Platform that cannot be resolved amicably shall be submitted to the competent courts of Kigali, Rwanda.

If you access the Platform from a jurisdiction with mandatory local consumer protection laws, those laws may apply to the extent they cannot be contractually excluded.

14. Changes to These Terms

We may revise these Terms at any time. The “Last Updated” date at the top of this page reflects the most recent changes. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will provide reasonable notice via the website.

Any communication purporting to be from ValidWave Consulting that does not originate from the above channels should be treated as fraudulent. Do not transfer money, share sensitive information, or enter into any agreement on that basis.

ValidWave Consulting accepts no liability for losses suffered as a result of engaging with fraudulent actors impersonating our firm. However, we will cooperate fully with authorities investigating such cases.
